These Website Terms of Use ("Terms") govern your access to and use of the website located at speakup.com (the "Site"), which is operated by People Intouch B.V., a company incorporated under the laws of the Netherlands and trading under the name SpeakUp ("SpeakUp", "we", "us", or "our"). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site immediately.
These Terms apply to the public-facing marketing website only. Where you access the SpeakUp platform, reporting channels, or any other services pursuant to a separate subscription or services agreement, the terms of that agreement shall govern in respect of that use.

2. Permitted Use
You may access and use the Site for lawful purposes, including your own internal business or informational purposes, only, subject to these Terms and all applicable laws and regulations. Without limiting the foregoing, you must not:
- use the Site in any manner that violates any applicable local, national, or international law or regulation;
- systematically extract, scrape, copy, or reproduce any content or data from the Site without our prior written consent;
- attempt to obtain unauthorized access to any part of the Site, its servers, or any systems or networks connected to the Site;
- transmit any unsolicited or unauthorized advertising, promotional material, malicious code, viruses, or any other form of harmful or disruptive data;
- use any automated tool, bot, or crawler to access the Site in a manner that sends more requests than a human could reasonably produce in the same period;
- impersonate SpeakUp, any SpeakUp employee, or any other person or entity, or misrepresent your affiliation with any person or entity;
- engage in any conduct that restricts or inhibits any other person’s use or enjoyment of the Site, or which may expose SpeakUp or any other user to liability.
- frame, embed, or deep-link to any page or resource on the Site within another website or application without our prior written consent.
We reserve the right to restrict, suspend, or terminate access to the Site at any time if we have reasonable grounds to believe that these Terms have been breached.
3. Eligibility
The Site is intended for use by individuals who are at least 18 years of age and who are acting in a professional or business capacity. By using the Site, you represent and warrant that you meet these eligibility requirements. SpeakUp's products and services are directed at business customers and are not intended for use by consumers acting in a purely personal capacity.
4. Intellectual Property
All content published or made available on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software (the "Content"), is the property of SpeakUp or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.
Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and display the Content for personal, non-commercial use only. You may share hyperlinks to pages on the Site. You must not, without our prior written consent, reproduce, modify, distribute, transmit, republish, display, or create derivative works from any Content for any commercial purpose.
“SpeakUp” and the SpeakUp logo are trade marks of People Intouch B.V. Nothing in these Terms confers any licence or right to use those trade marks without our express prior written consent.
5. Privacy and Data Protection
Our collection, use, and processing of personal data in connection with your use of the Site is governed by our Privacy Policy, in respect of which People Intouch B.V. acts as data controller, which is incorporated into these Terms by reference and is available on the Site at https://www.speakup.com/legal/privacy-statement. We encourage you to review the Privacy Policy before using the Site.
6. Third-Party Links
The Site may contain hyperlinks to websites operated by third parties. Such links are provided for your convenience and information only. We do not control those websites, and we are not responsible for their content, privacy practices, availability, or any goods or services offered through them. The inclusion of a link does not imply any endorsement or association by SpeakUp with the linked website or its operator.
7. Accuracy of Information
We endeavor to ensure that the information published on the Site is accurate and current at the time of publication. However, we make no representation or warranty of any kind, express or implied, as to the completeness, accuracy, reliability, suitability, or availability of the Site or the information, products, services, or related materials contained on the Site.
Nothing on the Site constitutes or is intended to constitute legal, financial, regulatory, or any other form of professional advice. You should obtain appropriate professional advice before acting on any information contained on the Site.
8. Availability and Modifications
We reserve the right to modify, suspend, or discontinue the Site, or any part of it, at any time and without prior notice, including where necessitated by circumstances beyond our reasonable control (including without limitation internet outages, third-party infrastructure failures, or force majeure events).
We also reserve the right to amend these Terms at any time. The revised Terms will be posted on the Site with an updated effective date. Your continued use of the Site after any amendment constitutes your acceptance of the revised Terms. You are responsible for reviewing the Terms periodically.
9. Disclaimer of Warranties
The Site and all Content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title, to the fullest extent permitted by applicable law.
10. Limitation of Liability
To the fullest extent permitted by applicable law, SpeakUp, its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage of any kind (including loss of profits, revenue, data, goodwill, or business opportunity) arising out of or in connection with your use of, or inability to use, the Site, even if we have been advised of the possibility of such loss or damage.
Subject to the foregoing, our total aggregate liability to you for any direct loss or damage arising under or in connection with these Terms shall not exceed the greater of: (i) €100 (one hundred euros); or (ii) the total fees paid by you to SpeakUp in the twelve (12) months immediately preceding the event giving rise to the claim (which, in the case of access to a free public website, will in most circumstances be nil).
Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless SpeakUp and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Site in accordance with Section 2 hereof; or (b) your breach of these Terms through use of the Site in accordance with Section 2 hereof.
12. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Netherlands.
Subject to any mandatory provisions of consumer protection law that may apply in your country of residence, you agree that the courts of Amsterdam, the Netherlands, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
13. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.
14. Waiver
No failure or delay by SpeakUp in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any further exercise of that right or remedy or the exercise of any other right or remedy.
15. Cookies
The Site uses cookies and similar tracking technologies to ensure proper functionality, analyze usage patterns, and improve your experience. By continuing to use the Site, you consent to our use of cookies in accordance with our Cookie Policy, which is available on the Site at https://www.speakup.com/legal/cookie-policy
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpeakUp in relation to your use of the Site and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written, in respect of the same.
